At Wove, we create fine jewelry meant to carry meaning for years to come. Whether you are selecting a Wove design, personalizing an existing piece, or creating something entirely your own with one of our Designers, we want the process to feel thoughtful, transparent, and distinctly personal.
These Terms of Service explain the legal terms that apply when you visit WoveMade.com, communicate with Wove regarding a purchase, use our design services, or purchase jewelry or other products from Wove Made, Inc.
Please read them carefully before placing an order.
1. ABOUT THESE TERMS
These Terms of Service (“Terms”) are a legally binding agreement between you and Wove Made, Inc. (“Wove,” “Wove Made,” “we,” “us,” or “our”).
These Terms apply to:

WoveMade.com and any website, online store, application, or digital experience operated by Wove;
-
jewelry and other products purchased from Wove;
-
made-to-order and personalized jewelry;
-
bespoke and fully custom jewelry;
-
design consultations and related design services;
-
qualifying At-Home Try-On replicas;
-
repair, resizing, cleaning, warranty, and other after-sale services where applicable; and
-
communications, content, and services related to your Wove experience.
By accessing our Site, creating an account, engaging Wove to begin a paid design service, placing an order, or otherwise purchasing products or services from us, you agree to these Terms.
You must be at least 18 years old and legally capable of entering into a binding contract to place an order.
If you do not agree to these Terms, please do not use the Site or place an order.
2. ORDER-SPECIFIC TERMS
Jewelry is personal, and not every Wove order is the same.
Your purchase may also be governed by an order confirmation, invoice, product page, design approval, CAD approval, stone selection, written quote, warranty, return policy, financing agreement, or other written document applicable specifically to your purchase (“Order Documents”).
If an Order Document expressly conflicts with these Terms regarding a specific order, the more specific Order Document will control for that particular matter.
Statements made in general marketing materials do not modify the specifications of an individual order unless those statements are incorporated into your Order Documents.
3. THE WOVE EXPERIENCE
Wove offers several ways to create or purchase fine jewelry.
Depending on the product or service, you may:

purchase a Wove design directly online;
-
select options such as metal, ring size, stone shape, stone type, or other available specifications;
-
work directly with a Wove Designer to personalize a design;
-
select a natural diamond, laboratory-grown diamond, gemstone, or other center stone;
-
commission a bespoke or fully custom piece; or
-
participate in an eligible At-Home Try-On experience.
Availability of particular services, materials, stones, designers, options, or programs may change over time.
We reserve the right to decline a project that we reasonably believe cannot be produced safely, structurally, legally, ethically, or to Wove's quality standards.
4. MADE-TO-ORDER, PERSONALIZED & BESPOKE JEWELRY
A significant portion of Wove jewelry is created specifically for the person ordering it.
This may include jewelry produced in a selected ring size, metal, stone configuration, diamond specification, engraving, or other customer-selected configuration—even when the underlying Wove design is shown publicly on our Site.
A piece does not need to be a completely original bespoke design to be considered made-to-order or personalized.
Final Design Approval
For bespoke and certain personalized projects, Wove may provide sketches, CAD renderings, digital renderings, photographs, measurements, specifications, or other design materials for your review.
You are responsible for carefully reviewing the information provided before approving the design.
Your approval authorizes Wove to move forward based on the approved specifications.
This includes, as applicable:

ring size;
-
metal type and color;
-
stone type;
-
stone shape;
-
diamond or gemstone selection;
-
dimensions;
-
proportions;
-
engraving;
-
setting style;
-
orientation; and
-
other design details.
Once a design has been approved or production has begun, requested changes may not be possible.
If we can accommodate a change, additional design, material, stone, labor, shipping, or production charges may apply, and the estimated completion date may change.
5. RENDERINGS, PHOTOGRAPHS & HANDCRAFTED VARIATION
CAD files, sketches, renderings, enlarged photographs, videos, augmented images, and other digital representations are design tools.
They are not guarantees that the finished piece will appear identical when viewed in person.
Fine jewelry is produced at a very small physical scale. Screen size, lighting, photography, magnification, display settings, manufacturing tolerances, polishing, stone characteristics, hand-finishing, and other factors can affect appearance.
Reasonable variations may occur in:
-
proportions;
-
prong positioning;
-
polish;
-
texture;
-
stone positioning;
-
metal weight;
-
dimensions;
-
color appearance;
-
gemstone patterning; and
-
other details inherent in producing and finishing fine jewelry.
These normal production variations are not defects.
Natural gemstones may also contain variations, inclusions, color zoning, patterns, or other characteristics created by nature.
6. CRAFTSMANSHIP, MANUFACTURING & SOURCING
Wove works with a curated network of skilled goldsmiths, setters, manufacturers, diamond and gemstone suppliers, laboratories, and other specialized partners.
Depending on the piece, components or stages of production may occur in the United States or internationally.
A statement describing a particular process—such as designing, setting, finishing, inspecting, or servicing a piece in Lancaster County, Pennsylvania—refers to that specific process and should not be interpreted as a representation that every component or manufacturing step originated there unless Wove expressly states otherwise.
Wove may select or change a production partner when reasonably necessary to complete an order, provided the finished piece continues to meet the specifications contained in the applicable Order Documents.
7. DIAMONDS, GEMSTONES & GRADING REPORTS
Wove offers both natural diamonds and laboratory-grown diamonds, as well as gemstones and other jewelry materials.
The applicable product listing, proposal, diamond selection, or Order Document will identify whether a diamond is natural or laboratory-grown.
Independent Grading
Where Wove represents that an independent grading report or certification is included with a diamond, Wove will provide the applicable report or identifying information associated with that stone.
Independent laboratories—including organizations such as GIA and IGI—operate separately from Wove.
Diamond and gemstone grading involves professional evaluation and judgment. A grading report represents the findings of the issuing laboratory and is not a warranty by Wove that another laboratory, appraiser, jeweler, insurer, or buyer would assign precisely the same grade or value.
Grading reports are also not appraisals and do not establish retail, replacement, insurance, investment, or resale value.
Laser Inscriptions
Certain diamonds may include a grading-report number or other identifying information laser-inscribed on the girdle.
Where present, an inscription is an identification aid. Wove does not represent that a laser inscription makes a diamond impossible to lose, replace, alter, remove, or misidentify.
Stone Availability
Diamonds and gemstones may be sourced through a global supplier network and may remain available to other buyers until secured for your order.
A discussion, recommendation, quote, image, link, or temporary supplier hold does not guarantee availability.
If a selected stone becomes unavailable before Wove secures it, we may offer comparable alternatives or refund any amount paid specifically for an unavailable stone if an acceptable replacement cannot be agreed upon.
We will not knowingly substitute a different center stone for a specifically selected center stone without your authorization.
Images and Videos
Diamond and gemstone images and videos are frequently magnified and photographed under controlled lighting.
Actual appearance may vary based on environment, lighting, viewing angle, setting style, screen calibration, and the characteristics of the individual stone.
8. AT-HOME TRY-ON REPLICAS
Wove's At-Home Try-On experience may be available for qualifying bespoke or fully custom projects.
Eligibility, pricing, timing, and other details will be disclosed before purchase of the service.
Unless otherwise stated in writing, an At-Home Try-On replica is a design model—not fine jewelry.
A replica may be created using materials such as sterling silver, cubic zirconia, plating, or other non-final materials intended to approximate the visual appearance of the proposed design.
The replica may differ from the finished piece in:

weight;
-
durability;
-
stone performance;
-
sparkle;
-
metal color;
-
prong construction;
-
thickness;
-
fit;
-
feel; and
-
other physical characteristics.
Replicas are intended to help evaluate the design and overall proportions. They are not intended to duplicate the material properties or long-term durability of the final jewelry.
Fees associated with a bespoke At-Home Try-On service are nonrefundable once the replica design or production process has begun unless otherwise required by law.
9. PRICING & PRODUCT INFORMATION
We work carefully to provide accurate product descriptions, specifications, availability, and pricing.
Occasionally, however, an error may occur.
We reserve the right to correct typographical errors, inaccurate descriptions, incorrect specifications, pricing errors, promotional errors, or other mistakes.
If a material pricing or product error is discovered after you place an order but before fulfillment, Wove may contact you to offer the option of proceeding at the corrected price or specifications.
If you do not wish to proceed—or if the order cannot reasonably be fulfilled—we may cancel the affected portion of the order and refund the corresponding amount paid.
We are not required to honor a price that is clearly or materially erroneous.
Prices and promotions may change without notice and generally do not apply retroactively.
Taxes, duties, shipping charges, or other applicable costs may be added where required.
10. ORDER ACCEPTANCE
Submitting an order is an offer to purchase from Wove.
An automated confirmation that we received your order does not necessarily mean that we have accepted it for production.
We reserve the right to verify:
-
payment;
-
identity;
-
shipping information;
-
product availability;
-
stone availability;
-
design feasibility;
-
suspected fraud;
-
pricing accuracy; and
-
other information reasonably necessary to complete the transaction.
We may decline or cancel an order before fulfillment for legitimate business, compliance, fraud-prevention, product-availability, or production reasons.
If Wove cancels an order that has been paid and no product or nonrefundable service has been delivered, the applicable amount will be refunded.
11. PAYMENT, DEPOSITS & FINANCING
Payment terms vary depending on the type of purchase.
Some orders may require payment in full. Others may permit a deposit followed by one or more additional payments.
The payment schedule communicated in your applicable Order Documents controls.
When a nonrefundable deposit is identified as such, the deposit compensates Wove for services and commitments that may include design work, stone acquisition, material procurement, labor scheduling, CAD development, manufacturing commitments, and other costs incurred specifically for your project.
Unless Wove expressly agrees otherwise in writing, all required balances must be paid before the finished jewelry is released or shipped.
Third-Party Financing
Wove may make third-party financing or installment-payment services available.
Those companies are independent financial service providers.
Wove is not the lender and does not control approval decisions, interest rates, payment schedules, fees, credit reporting, or financing terms established by a third-party provider.
Your financing relationship is governed by your separate agreement with that provider.
12. PRODUCTION & DELIVERY ESTIMATES
Great jewelry takes time.
Most standard made-to-order pieces are typically estimated to require approximately three to four weeks for production after all required information, payment, and approvals have been received.
Bespoke projects, unusual designs, specialty stones, complex manufacturing, or periods of high demand may require additional time.
Any production or delivery date provided by Wove is an estimate unless Wove expressly guarantees a deadline in writing.
Production may be affected by circumstances including:

material availability;
-
diamond or gemstone availability;
-
manufacturing;
-
casting;
-
setting;
-
quality-control requirements;
-
design changes;
-
supplier delays;
-
carrier delays;
-
weather;
-
customs;
-
holidays; or
-
events outside Wove's reasonable control.
We would rather delay delivery than knowingly send a piece that does not meet our quality standards.
Wove is not responsible for consequential losses arising from a reasonable production or shipping delay, including travel costs, event expenses, proposal plans, wedding-related expenses, or other indirect losses.
If your jewelry is required for a specific event or date, please communicate that requirement before ordering. We will tell you whether we believe the requested timing is reasonably achievable, but no deadline is guaranteed unless confirmed by Wove in writing as guaranteed.
13. SHIPPING, DELIVERY & LOSS
Wove determines the shipping method and carrier unless otherwise agreed.
We may require an adult signature or other delivery verification for high-value shipments.
You are responsible for providing a complete and accurate delivery address.
If an order is returned, delayed, or misdelivered because you provided incorrect or incomplete shipping information, additional shipping or handling charges may apply.
Outbound Shipments
Where Wove provides insured shipping, coverage remains subject to the terms, procedures, and determinations of the applicable carrier or insurer.
You agree to reasonably cooperate with Wove, the carrier, law enforcement, or an insurer if a shipment is reported lost or damaged.
Once a carrier records a package as successfully delivered to the address you provided, responsibility for protecting the package from theft, disappearance, weather, or other loss generally transfers to the recipient, except where applicable law provides otherwise.
Any suspected shipping loss, theft, tampering, or shipping damage should be reported to Wove promptly.
International Orders
International availability varies.
Customers receiving products outside the United States may be responsible for customs duties, import taxes, brokerage charges, VAT, or other governmental charges unless expressly collected by Wove during checkout.
International customs processing may also affect delivery times.
14. CANCELLATIONS, RETURNS & EXCHANGES
Because much of what we create is made specifically for you, our return policy differs depending on the type of jewelry purchased.
Made-to-Order, Personalized & Bespoke Jewelry
Unless otherwise expressly stated in writing:
Made-to-order, personalized, customized, engraved, resized-to-order, bespoke, and fully custom jewelry is final sale and is not eligible for return, refund, or exchange.
This includes made-to-order engagement rings, wedding bands, and fine jewelry created or configured specifically for your order.
Once Wove has accepted a final-sale order and committed materials, stones, design time, or production capacity, the order may not be canceled unless Wove agrees otherwise in writing.
Nothing in this section limits rights that cannot legally be waived.
Ready-Made Fine Jewelry
Eligible ready-made, non-customized jewelry may be exchanged within 30 days of receipt when permitted under Wove's then-current Return & Exchange Policy.
To qualify, the piece must generally be:

unworn;
-
unused;
-
undamaged;
-
unaltered;
-
in original condition; and
-
accompanied by its original packaging and included materials.
Ready-made jewelry that has been engraved, resized, customized, altered, or otherwise personalized is final sale.
Unless Wove expressly states otherwise, eligible ready-made returns are for exchange or store credit rather than a cash refund.
Return authorization may be required before sending jewelry to Wove.
The customer is responsible for properly packaging and insuring return shipments unless Wove provides a prepaid insured label.
15. RING SIZE, RESIZING, CARE & REPAIRS
You are responsible for selecting or approving the requested ring size.
Ring fit can change over time due to temperature, activity, weight change, pregnancy, joint size, ring width, stacking, and other individual factors.
Not every ring can be resized, and the amount by which a ring may safely be resized depends on its design, materials, stones, and construction.
Unless an applicable Order Document or written Wove policy specifically states otherwise, resizing is not automatically included with your purchase.
Additional charges may apply.
Fine jewelry requires reasonable care.
Diamonds, gemstones, precious metals, prongs, chains, clasps, and other components can wear, bend, loosen, scratch, chip, break, or become damaged through everyday use or accidental impact.
No jewelry is indestructible.
We recommend periodic inspection and professional cleaning appropriate to the piece.
16. WOVE LIMITED WARRANTY
Certain Wove jewelry may be covered by a separate written Wove Limited Lifetime Warranty.
Where applicable, the Limited Lifetime Warranty will be made available before purchase and will describe:

who is covered;
-
what is covered;
-
what is excluded;
-
how long coverage lasts;
-
how to request warranty service;
-
responsibilities for shipping or inspection; and
-
available remedies.
The applicable written warranty controls warranty coverage.
Normal wear, accidental damage, center-stone loss, theft, abuse, improper care, unauthorized modification, and damage caused by third-party work may be excluded to the extent described in the applicable warranty.
Having another jeweler inspect, clean, or service a Wove piece does not by itself eliminate rights that cannot legally be conditioned in that manner. However, Wove is not responsible for damage caused by improper repair, alteration, sizing, setting, refinishing, or other work performed by a third party.
Nothing in these Terms eliminates or limits any implied warranty or consumer right that cannot legally be disclaimed or limited.
For products not covered by a separate written Wove warranty, any warranties are limited to the fullest extent permitted by applicable law.
17. APPRAISALS, VALUE & RESALE
Unless expressly identified as a formal appraisal, pricing information, diamond grading reports, replacement estimates, designer recommendations, market comparisons, and other information provided by Wove are not independent appraisals.
Fine jewelry, diamonds, laboratory-grown diamonds, natural diamonds, gemstones, and precious metals can change in market value.
Wove does not guarantee:
-
future resale value;
-
appreciation;
-
investment performance;
-
insurance valuation;
-
secondary-market pricing; or
-
the amount another jeweler, appraiser, insurer, auction house, or buyer may assign to a piece.
A purchase from Wove should not be treated as an investment recommendation.
18. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WOVE MADE, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, DESIGNERS, CONTRACTORS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SITE, A PRODUCT, A SERVICE, OR THESE TERMS.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF USE, LOST PROFITS, LOST OPPORTUNITIES, LOSS OF DATA, LOSS OF GOODWILL, EVENT-RELATED COSTS, TRAVEL COSTS, OR OTHER INDIRECT LOSSES.
TO THE FULLEST EXTENT PERMITTED BY LAW, WOVE'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO WOVE FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that applicable law does not permit us to exclude or limit.
Some jurisdictions do not permit certain exclusions or limitations of damages. In those jurisdictions, the limitations above apply only to the maximum extent permitted by law.
19. WEBSITE AVAILABILITY & THIRD-PARTY SERVICES
Our Site may use or connect with third-party technologies and service providers, including ecommerce platforms, payment processors, financing providers, shipping carriers, analytics providers, scheduling tools, communications systems, social networks, and other services.
Wove does not control every third-party platform.
We are not responsible for a third party's independent acts, omissions, outages, security practices, policies, or terms.
Links to third-party websites are provided for convenience and do not necessarily constitute endorsement.
We may update, suspend, remove, or modify portions of the Site at any time.
We do not guarantee that the Site will always be uninterrupted, error-free, or available.
20. ACCOUNTS & SECURITY
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.
Information you provide to Wove must be accurate, current, and complete.
Please contact us promptly if you believe your account or payment information has been used without authorization.
We may suspend or restrict an account where reasonably necessary for security, fraud prevention, legal compliance, or violation of these Terms.
21. CONSULTATIONS & RECORDINGS
Design consultations may occur by video, telephone, messaging, email, or other communication platforms.
We may use information from those conversations to prepare designs, recommendations, estimates, and Order Documents.
If Wove wishes to audio- or video-record a consultation, we will provide appropriate notice and obtain any consent required by applicable law.
Participation in a consultation does not constitute consent to recording unless consent has been appropriately obtained.
22. INTELLECTUAL PROPERTY
The Wove name, trademarks, logos, photography, video, website design, text, product names, graphics, CAD work, renderings, sketches, jewelry designs, design concepts, and other creative materials are owned by Wove or used under license and are protected by intellectual-property laws.
Except as permitted by law or expressly authorized by Wove, you may not copy, reproduce, distribute, publish, modify, commercially exploit, or create derivative works from Wove content.
Custom & Bespoke Designs
Purchasing a physical piece of jewelry transfers ownership of that physical item to you.
It does not automatically transfer Wove's intellectual-property rights in sketches, CAD files, renderings, manufacturing files, design techniques, underlying design concepts, or other creative work used to create the piece.
Unless Wove expressly agrees otherwise in writing, commissioning a bespoke piece does not provide exclusive rights preventing Wove from creating jewelry containing similar elements, features, settings, proportions, motifs, construction methods, or design concepts for other clients.
Where you provide Wove with photographs, artwork, logos, drawings, heirloom designs, inscriptions, or other material, you represent that you have the right to provide and use that material for the requested project.
You grant Wove a limited license to use that material as reasonably necessary to evaluate, design, manufacture, document, and service your order.
Wove may decline to reproduce a design if we believe doing so could infringe another party's intellectual-property rights.
23. PHOTOGRAPHY OF FINISHED JEWELRY
Wove may photograph or record finished jewelry for quality-control, documentation, insurance, training, portfolio, educational, or marketing purposes.
Unless otherwise agreed in writing before production, Wove may use non-identifying images of jewelry we create.
We will not identify you personally, disclose private proposal information, or use your name, likeness, testimonial, or personal story in public-facing marketing without appropriate permission.
If confidentiality is important to your project, please request a written confidentiality agreement before production begins.
24. CUSTOMER CONTENT & REVIEWS
If you voluntarily submit photographs, reviews, testimonials, social-media content, comments, or other content for Wove to publish or repost, you represent that you have the right to provide it.
Where you specifically authorize Wove to use that content publicly, you grant Wove a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, adapt, and publish the authorized content in connection with Wove's business and marketing.
Nothing in this section gives Wove permission to use your name, likeness, photograph, private correspondence, or personal story publicly where separate consent is legally required.
25. PRIVACY & COMMUNICATIONS
Our collection and use of personal information is governed by our Privacy Policy.
Order confirmations, shipping notices, design communications, security alerts, service messages, warranty communications, and other transactional messages may be sent as necessary to fulfill or support your purchase.
Marketing email or text communications are governed by the applicable consent and unsubscribe mechanisms associated with those programs.
Purchasing from Wove does not eliminate any statutory right to opt out of marketing communications.
26. PROHIBITED USES
You may not use the Site or Wove services:

for unlawful or fraudulent activity;
-
to violate another person's intellectual-property or privacy rights;
-
to attempt unauthorized access to the Site or Wove systems;
-
to introduce malicious software or code;
-
to scrape, harvest, copy, or commercially exploit Site content without authorization;
-
to impersonate another person;
-
to provide fraudulent payment information;
-
to interfere with Site security or operation; or
-
in any other manner that violates applicable law.
We may restrict access or cancel an affected transaction where reasonably necessary to address suspected fraud, abuse, security threats, or illegal activity.
27. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Wove Made, Inc. and its directors, officers, employees, contractors, and affiliates from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:

your unlawful use of the Site;
-
your material violation of these Terms;
-
content or intellectual property you provide to Wove without the necessary rights; or
-
fraud or intentional misconduct by you.
This section does not require you to indemnify Wove for Wove's own negligence, unlawful conduct, or other liability that cannot legally be shifted to you.
28. DISPUTE RESOLUTION & BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Wove believes most concerns can be resolved directly and thoughtfully.
Before beginning formal proceedings, you and Wove agree to make a good-faith effort to resolve the dispute informally.
A party seeking to initiate a dispute should provide written notice describing the issue and requested resolution.
Wove notices may be sent to:
The parties will have at least 30 days after receipt of the notice to attempt an informal resolution before initiating arbitration, unless a claim must be filed sooner to preserve a legal right.
Individual Binding Arbitration
Except for claims eligible for small claims court and claims for which applicable law prohibits mandatory arbitration, any dispute, claim, or controversy arising from or relating to these Terms, the Site, Wove's services, or a purchase from Wove will be resolved through individual binding arbitration rather than a court proceeding.
Arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules in effect when the proceeding is initiated, as modified by these Terms.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitration may be conducted by telephone, video conference, written submissions, or in another manner permitted by the applicable AAA rules.
The arbitrator may award any individual remedy or relief that would otherwise be available in a court of competent jurisdiction, subject to applicable law.
Small Claims
Either party may bring an individual claim in an appropriate small claims court if the claim qualifies for that court and remains there on an individual basis.
NO CLASS ACTIONS
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WOVE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION.
Unless both parties agree otherwise, the arbitrator may not consolidate the claims of more than one person.
JURY TRIAL WAIVER
TO THE EXTENT A DISPUTE IS SUBJECT TO ARBITRATION, BOTH YOU AND WOVE WAIVE THE RIGHT TO HAVE THAT DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.
If any part of this arbitration provision is found unenforceable, the remaining enforceable provisions will remain in effect to the fullest extent permitted by law.
29. GOVERNING LAW
Except to the extent governed by the Federal Arbitration Act or another controlling federal law, these Terms and disputes arising from them will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Nothing in this choice-of-law provision deprives a consumer of protections that applicable law does not permit the parties to waive.
30. FORCE MAJEURE
Wove will not be responsible for a failure or delay caused by circumstances beyond our reasonable control.
These circumstances may include natural disasters, severe weather, war, terrorism, civil unrest, labor disruptions, transportation interruptions, carrier failures, government actions, customs delays, public-health emergencies, utility failures, cyber incidents, supplier disruptions, material shortages, gemstone shortages, or other events reasonably outside our control.
Where appropriate, we will make commercially reasonable efforts to communicate significant delays and complete the affected order.
31. CHANGES TO THESE TERMS
We may update these Terms periodically as our business, products, technology, or legal obligations change.
The updated version will be posted on the Site with a revised “Last Updated” date.
Changes generally apply prospectively.
The Terms in effect when an order is accepted will continue to govern that order unless applicable law requires otherwise or you and Wove expressly agree to a change.
32. SEVERABILITY
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed if necessary.
The remaining provisions will continue in full force and effect.
33. NO WAIVER
If Wove does not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.
A waiver is effective only when expressly made by the party granting it.
34. ASSIGNMENT
You may not assign your rights or obligations under these Terms without Wove's prior written consent.
Wove may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or transfer of the applicable business, subject to applicable law.
35. ENTIRE AGREEMENT
These Terms, together with the applicable Order Documents, Privacy Policy, Return & Exchange Policy, Limited Lifetime Warranty, and any other policies expressly incorporated into your transaction, constitute the agreement between you and Wove regarding the matters they cover.
They supersede prior statements or understandings concerning those same matters, except for written agreements expressly intended to remain in effect.
